1. Agreement to Terms
These Terms of Service ("Terms") govern your access to and use of the QualiLoop platform and related services ("Service") provided by Qualiloop Technologies LTD ("QualiLoop", "we", "us", or "our"), a company registered in England and Wales with its registered office in London, United Kingdom.
By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.
2. Description of Service
QualiLoop is a software-as-a-service platform that enables teams to test, evaluate, and monitor the quality of AI agents and large language model applications. Features include automated test execution, AI-driven evaluation (LLM-as-a-Judge), release gates, and custom quality checks.
3. Accounts
To use the Service, you must register for an account. You agree to provide accurate, complete, and current information and to keep your account credentials secure. You are responsible for all activity that occurs under your account.
You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the organisation you represent.
4. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law or regulation.
- Transmit or process content that is unlawful, harmful, defamatory, or infringes third-party rights.
- Attempt to gain unauthorised access to the Service, its infrastructure, or other users' accounts.
- Reverse engineer, decompile, or disassemble any part of the Service.
- Use the Service to train, fine-tune, or develop competing AI systems without our written consent.
- Introduce malicious code, automated bots, or denial-of-service attacks.
- Resell or sublicense access to the Service without our written consent.
5. Subscription and Payment
Access to certain features requires a paid subscription. Fees are billed in advance on a monthly or annual basis depending on your chosen plan. All fees are non-refundable except as required by law or as set out in our refund policy.
We reserve the right to change our pricing with at least 30 days' notice to existing subscribers. Continued use of the Service after a price change constitutes acceptance of the new pricing.
If payment fails, we may suspend or terminate your access after reasonable notice. Taxes are your responsibility unless we are required by law to collect them on your behalf.
6. Free Trial
We may offer a free trial period. At the end of the trial, you must subscribe to a paid plan to continue using the Service. We reserve the right to modify or terminate free trial offers at any time.
7. Intellectual Property
QualiLoop and its licensors own all rights, title, and interest in the Service, including all software, designs, trademarks, and documentation. These Terms do not grant you any ownership rights in the Service.
You retain ownership of all content, data, and configurations you submit to the Service ("Customer Data"). By submitting Customer Data, you grant QualiLoop a limited licence to process that data solely to provide and operate the Service.
8. Confidentiality
Each party agrees to keep confidential any non-public information of the other party that is designated as confidential or that reasonably should be understood to be confidential. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
9. Data and Privacy
Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described in the Privacy Policy.
If you are processing personal data of individuals on our platform, you are responsible for ensuring you have a lawful basis to do so and for compliance with applicable data protection laws including UK GDPR.
10. Uptime and Service Availability
We aim to provide a reliable service but do not guarantee uninterrupted availability. Scheduled maintenance, updates, and events outside our control may cause temporary disruptions. We will endeavour to provide advance notice of planned maintenance where reasonably practicable.
11. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. QualiLoop does not warrant that the Service will be error-free or that any results obtained from its use will be accurate or reliable.
AI-generated evaluations and test results are probabilistic in nature and should not be relied upon as the sole basis for critical decisions.
12. Limitation of Liability
To the fullest extent permitted by applicable law, QualiLoop shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or related to your use of the Service, even if we have been advised of the possibility of such damages.
Our total aggregate liability to you for any claims arising under or related to these Terms shall not exceed the total amount you paid to QualiLoop in the 12 months preceding the claim.
13. Indemnification
You agree to indemnify and hold harmless QualiLoop, its officers, directors, employees, and agents from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.
14. Termination
You may terminate your account at any time by contacting us. We may suspend or terminate your access immediately if you breach these Terms, fail to pay fees, or if we are required to do so by law.
Upon termination, your right to use the Service ceases immediately. We may delete your data after a 30-day grace period following termination, subject to any legal retention requirements.
15. Governing Law and Disputes
These Terms are governed by the laws of England and Wales. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
16. Changes to These Terms
We may update these Terms from time to time. We will notify registered users of material changes by email at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
